Use of space

Liability. The Exhibitor is entirely responsible for the space leased and shall not injure, mar, or deface the premises. The Exhibitor shall not drive, nor permit to be driven, any nails, hooks, tacks, or screws in or on any building surface, including outside surfaces, nor attach items to draperies, nor affix advertisements or signs to walls, posts, poles, columns, or windows, or use adhesive materials on painted surfaces. The Exhibitor agrees to reimburse the facility and/or decorator for any loss or damage caused by the Exhibitor. Show Management and sponsors are not liable for failure to perform because of strikes, riots, acts of God, or other causes beyond their control.

Aisle space. Aisles, passageways, and overhead spaces remain under the control of Management. No signs, decorations, banners, advertising or special exhibits are permitted in them without written permission. All exhibits and personnel must stay within their own space and must not obstruct the view of, cause injury to, or disadvantage other Exhibitors.

Exhibit space. This contract cannot be assigned, sublet, or otherwise disposed of without written consent of Management. Sub-leasing is strictly prohibited. If exhibit space is not open and ready for business by 12 PM on opening day, this contract is void, all money paid is forfeited, and the space may be sold to another party.

Exhibit content and manner of use. All personnel, merchandise, and equipment must remain inside the assigned space. Soliciting outside your space is strictly prohibited. No PA system, loudspeaker, amplifier, broadcasting device, music, or other objectionable methods may be used. Violators are subject to contract cancellation, forfeiture of fees, removal from the grounds, and will not be offered a contract the following year. Items left at the close of the Festival become property of the Festival of Trees.

Restrictions. Only products and services listed on this agreement may be sold or displayed. Management may restrict or remove, without refund, exhibits falsely entered or deemed unsuitable or objectionable, including noise, PA systems, persons, animals, birds, pop caps, fireworks, conduct, or printed matter.

Offenders. Violation of any term may, at Management’s discretion, make the whole contract amount due and cause immediate revocation of all rights granted, with all sums paid becoming the property of Management as liquidated damages.

Floor plan. The floor plan may be modified without notice to the Exhibitor.

Rules for exhibits

Fire rules. All rules of the Fire Prevention Bureau of Yellowstone County, facility regulations, City ordinances and local fire codes must be followed. Combustible display materials must be flame retardant. Explosive or dangerous materials are not allowed.

Licenses. Any city, county, state or federal licenses, inspections or permits (including for food) are obtained at the Exhibitor’s expense, with proof provided on request.

If the show is not held. Management is not liable for damages or expenses if the show is delayed, interrupted or not held. If the show is not held for reasons beyond Management’s control, Management may retain what is needed to cover expenses already incurred.

Entire agreement, amendments and attorney fees. This contract contains all terms agreed to. It may only be amended, rescinded or terminated in writing. In any suit to enforce its terms, the prevailing party is entitled to court costs and reasonable attorney fees.

Relationship of parties. Nothing in this agreement creates a partnership, joint venture, employment, agency or similar relationship.

Media. No media may broadcast from an Exhibitor’s booth without written consent of Management.

Security. The facility is locked when the Festival is closed and limited security is provided. Family Tree Nurturing Center, facility management and their insurer are not liable for loss or disappearance of any kind. Exhibitors should confirm coverage with their insurance agents.

Liability and indemnity. Family Tree Nurturing Center, Festival of Trees, their representatives and sponsors are not responsible for any injury, loss or damage to the Exhibitor, employees or property from any cause. The Exhibitor releases them from all such claims and shall indemnify them against losses arising from injury or damage on or about the Exhibitor’s space.

Waiver, governing law, legal representation and third parties. No provision may be waived except in writing. Montana law governs. The Exhibitor has had the opportunity to be represented by counsel of its choice and is not relying on any other party’s counsel. This agreement confers no rights on anyone other than the parties.

Applications and cancellations

Applications. Space is assigned first come, first served and is not guaranteed until payment is received and the agreement is counter-signed by Show Management. Selection is at the discretion of the show jury, with priority for products and services not already represented. Full payment is required with the application. If not selected, your payment is returned within 60 days.

Cancellation. Cancellations or changes must be in writing and received 30 days before the show. No refunds within 30 days of the show.
